S.a.s (VAT number IT03740790724), based in Casamassima (BA), S.S. 100, km 18, “Il Baricentro”, invites users to read these General Conditions of Sale (GCS) which regulate the relationship between the Customer and Campione Antonio & C. S.a.s. for the management of orders placed on the website www.formale.co for the purchase of "FORMALE - ITALIAN LUXURY SUITS" branded products.

On the website www.formale.co only tailor-made products are offered for sale, handmade and made to measure by our Partners, under the brand "FORMALE - ITALIAN LUXURY SUITS" (a registered trademark in the Italian Patent and Trademark Office 2020000072982 owned by Campione Antonio & C S.a.s., Italy, Casamassima (BA), S.S. 100, km 18, “Il Baricentro”).

1 - Acceptance of the General Conditions of Sale (GCS), conclusion and object of the contract

1.1. By registering the personal account, the Customer declares to have read and accepted these General Conditions of Sale (GCS); by sending each new order placed on the website www.formale.co, after registering the personal account, the Customer declares to have read and accepted the GCS in their most updated version, published and accessible in the ways mentioned in the following art. 12.

1.2 Each order placed on the website www.formale.co implies the conclusion of a distance sales contract in Italian (the "Contract") which has as its object the sale of custom-made and personalized movable goods (the "Product") between Campione Antonio & C S.a.s. (VAT number IT03740790724), based in Casamassima (BA), SS 100, km 18,"Il Baricentro" (the "Company") and the consumer (the "Customer").

2 - Price and shipping costs

2.1 The total price payable by the Customer for each order is equal to the sum of the unit price of each product (raw material and labor), shipping costs, and taxes/duties due for the sale. Therefore, the prices are indicated on the website www.formale.co and illustrated during the purchase procedure are understood to be excluding VAT.

2.2 At the end of the purchase procedure and before the order is sent to the Company, the total price due by the Customer is understood to include VAT and/or any other tax, calculated at the time of purchase, with an indication of the detail of each item. The Customer, therefore, is required to pay the price published on the page at the time the order is sent.

2.3 After sending the order, the shipping costs may vary according to the conditions applied by the Courier / Freight Forwarder, as well as the procurement costs of raw materials from the suppliers of fabrics and yarns. In such cases, the Company will send a communication to the Customer asking to confirm the order with the changed price. If the Customer confirms the order, he will have to pay the Company the difference only; while, case of non-confirmation or case of non-payment of the difference due, the order will be considered canceled and the Customer will be entitled to a refund of the amount paid for the purchase.

3 - Methods of purchase and payment

3.1 By clicking on the button CONFIRM ORDER the Customer places a binding order for the products contained in the cart. The contract is concluded with the receipt by the Company of the payment of the price and any shipping costs. Within 24 hours following receipt of payment, the Company will send the Customer an e-mail confirming the order, together with a copy of the GCS accepted by the Customer in the version in force at the time of purchase. If the payment of the total price is not received by the Company, the order will be deemed void.

3.2 The Customer can change the order by sending a communication to the Company's Customer Service, within 48 hours of receiving the order confirmation email. The changes that the Customer may make to the order only concern the measurements and customizations chosen in the creation phase of their suit. Therefore, the fabric chosen by the Customer during the purchase procedure cannot be changed after sending the order to the Company.

3.3 Orders received within the working day (17:00 Italian time - Rome) will be handled during the working day. Conversely, orders received after the end of the working day or on Saturdays and Sundays and national holidays (Italy) will be managed to start from the following working day. In any case, Saturdays and Sundays and national holidays (Italy) are not considered working days.

3.4 The Company reserves, in any case, the right not to accept, or cancel an order, if it has been placed in the name of the Customer through software, robot, crawler, spider or any automated system or through behavior based on scripts or services.

4 - Availability of fabrics and graphic representations

4.1 The Company continuously updates the website www.formale.co with an indication of the fabrics and customizations available. However, if the products covered by the order are not available, in whole or in part, by type or quantity required for production, the latter will promptly notify the Customer. In this case, the Company will not be obliged to deliver the ordered products and the Customer will be given the possibility to modify his order on the basis of the fabrics and customizations available. Alternatively, the Customer can choose to cancel the order and will be entitled to an immediate and full refund of the price paid.

4.2 The graphic representations of the products on the website www.formale.co are for indicative purposes only. Although the Company undertakes to ensure that they are as real as possible, due to the digital rendering of images on the web, the various light settings of the screens or other external conditions and not dependent on the will of the Company, it is likely that the images and the graphic representations of the products do not conform to reality. With the purchase, the Customer accepts that there may be differences and discrepancies in this regard.

5 - Delivery of semi-finished products, confirmation of measurements and delivery of finished products

5.1 Within 40 days of the order confirmation e-mail, the Company will send the semi-finished item (not final) to the Customer's address.

5.2 Once the garment has been received, the Customer must try it on and send the Company the information requested in the accompanying form by sending an email to shop@formale.co. The information requested will be, at a minimum: (a) n. 3 photographs (front, side, back) with sufficient resolution and visibility standards; (b) a note of the desired changes limited to small adjustments of the measures declared at the time of purchase (with a maximum variation of +/- 4 cm).

5.3 Within 20 days of delivery of the semi-finished garment or in the different term agreed in writing with the Company, the Customer must return the garment to Campione Antonio & C. S.a.s (VAT number IT03740790724), based in Casamassima (BA), S.S. 100, km 18, 70010 - “Il Baricentro”, booking the pick-up date directly with the Courier (also via link received from the Company). The expenses and charges for returning the garment are entirely borne by the Company.

5.4 In the event of failure to return the semi-finished item within the aforementioned deadline or in the event of the return of a different and/or damaged and/or altered item from an aesthetic or functional point of view, the purchase order will be deemed void. The amount paid by the Client will remain at the Company. It is understood that the Customer will be responsible for the greater damage suffered by the Company and for any additional costs, expenses, fine, tax, duty, penalty and/or fine (including duty taxes) that the Company will have to pay for the effect of the non-return of the semi-finished products.

5.5 Within 20 days from the return of the semi-finished item (arrival in Italy), the Company will ship the finished and complete product to the Customer. Changes requested by the Customer that are not materially possible and, in any case, those that are higher than the tolerance limits referred to in art. 5.3 will not be accepted and will not be considered for the packaging of the finished product.

5.6 The times indicated for the Company's shipments are to be considered indicative and in no way binding, unless their mandatory nature has been the subject of an express contractual provision with the Customer. In any case, the Customer can keep track of the shipment status through the tecking number provided by the Shipper and communicated by the Company.

6 - Tolerances in the measures communicated and delays in delivery

6.1 Each “FORMALE - ITALIAN LUXURY SUITS” branded product is made to measure, according to a specific production process that reflects the Italian tailoring tradition, with manual packaging. For this reason, the Customer accepts that the finished product has a variation tolerance of 1 cm for each of the measurements communicated to the Company during the measurement confirmation phase (after the test of the semi-finished garment) referred to in the art. 5.2.

6.2 Since each “FORMALE - ITALIAN LUXURY SUITS” branded product is made to measure and handmade, the Customer accepts that there may be moderate delays in the delivery of the garment with respect to what is indicated in articles. 5.1 and 5.5.

6.3 Should significant delays occur in the shipment of the products (+ 10 days compared to the times indicated), the Company will immediately notify the Customer indicating the new shipping date which cannot be fixed beyond 15 working days from the notification of the delay. In the latter case, the Customer can confirm the new delivery date or request a full refund of the price.

6.4 The Company will not be responsible for the delay and/or non-delivery of the products in the event of their loss and/or destruction due to unforeseen circumstances and/or force majeure and/or for the occurrence of unforeseen and in any case hardly foreseeable events. at the time of order confirmation. In any case, the Company undertakes to do everything in its power not to aggravate the damage suffered by the Customer.

7 - Coupons and gift certificates

7.1 Coupon codes cannot be purchased on the market and are offered by the Company exclusively as part of promotional campaigns. Coupons cannot be combined and the Customer can use them only once and concerning a single order for a limited time indicated on the coupon purchase receipt. It is also possible that the use of the coupon is subject to a minimum amount of expenditure, net of shipping costs. If the value of the coupon is lower than the total price of the products ordered, the difference must be paid by the Customer through one of the accepted payment methods.

7.2 Coupons cannot be refunded in cash and cannot be transferred to third parties. No interest accrues on the credit represented by them. Coupon codes cannot be used for the purchase of gift vouchers.

7.3 Gift vouchers can be purchased on the www.formale.co site and can only be used for the purchase of products from the www.formale.co site, but not for the purchase of other gift vouchers. The Customer can use them only once and concerning a single order (although several gift vouchers can be combined in a single order) for a limited time indicated on the purchase receipt. If the value of the gift vouchers is lower than the total price of the products ordered, the difference must be paid by the Customer through one of the accepted payment methods.

7.4 Gift vouchers cannot be refunded in cash but can be transferred to third parties. No interest accrues on the credit represented by them.

8 - Customer declarations and prohibitions on the use of the personal account

8.1 By registering a personal account, the Customer declares and guarantees: (a) that he is a consumer and, in any case, that he is not purchasing for professional and/or business purposes; (b) to be of age; (c) that the data entered during the registration are correct and truthful; (d) that he will not make or intend to make an illicit use of his personal account in order to cause harm and/or prejudice to the Company and to others.

8.2 By completing the purchase procedure, the Customer specifically declares and guarantees: (a) that he has read and accepted the GCS published on the website www.formale.co; (b) that all the data requested during the purchase procedure are correct and truthful. With reference to the delivery and billing addresses, the Customer, in any case, undertakes to communicate the change in such data without delay by sending an email to the Company's Customer Service.

8.3 The Customer cannot directly and/or indirectly create multiple Accounts linked to the same person. Any Account that do not comply with this requirement or that violate the terms of lawful use will be suspended by the Company until the end of the appropriate technical checks. Any pending orders placed by the Account subsequently suspended will be canceled and/or revoked by the Company. Any right of reimbursement related to orders placed through irregular Accounts will also remain suspended until the end of the technical investigations. In the event of ascertained irregularity, the account will be canceled and the Company will refund the price paid, deducting any production and/or shipping costs already incurred which will remain definitively acquired by the Company. Without prejudice to the Company's right to request compensation for the greater damage suffered. If coupons and/or gift vouchers have been used to make purchases from irregular accounts, the Customer will be required to return the amount relating to the discount applied to the Company.

9 - Exclusion of the right of withdrawal

9.1 Pursuant to art. 59, c) of Italian Legislative Decree 206/2005 (Consumer Code) the Customer's right of withdrawal is excluded, as the remote sales contract has as its object the sale of goods and products made to measure and clearly personalized.

9.2 Notwithstanding art. 9.1, for purchases over € 15,000, the Company and the Customer may provide in writing exceptional return policies for items with structural and/or wearability defects with the impossibility of making changes.

10 - Communications, complaints and refunds

10.1 Any communication must be forwarded to the Company in one of the following ways:

- by registered letter with return receipt to the address: Campione Antonio & C. S.a.s, Casamassima (BA), S.S. 100, km 18, “Il Baricentro” lot 18 / A module 13;

- by certified e-mail to the address: campionesas@pec.it;

- by e-mail to the e-mail address: shop@formale.co

no later than 15 days from the delivery of the goods and/or from the event underlying the reasons for the complaint.

10.2 Refunds and any other sum owed by the Company to the Customer will be credited directly to the account or to the payment instrument used by the Customer at the time of purchase or subsequently indicated by the Customer. It is understood that if the Customer does not indicate a current account for credit during the complaint phase or indicates an incorrect current account and/or for any other reason it is not possible to make the refund on the coordinates indicated by the Customer, the Company will automatically proceed to credit the Customer's account or to issue a nominative and non-transferable gift voucher, so that they can use this amount for subsequent purchases or request the subsequent return by communicating their bank details by replying to the email with which the Company will communicate that they have proceeded to credit and/or issue the voucher. If a gift voucher was used for the order for the total price, the Company will issue a new gift voucher of the same amount.

11 - Personalized consultancy service

11.1 For orders over € 15,000 or in case of purchase of more than n. 5 suits, the Company recognizes the possibility for the Client to enjoy the personalized consultancy service.

11.2 A Style Advisor and a Chief Tailor of the Company will be available to the Client, via videoconference or directly at an address communicated by the Client, for a maximum of n. 2 hours, for the display of the available fabrics, for the collection of the customer's measurements, for the customization of the garments and for any other type of advice aimed at purchasing "FORMALE - ITALIAN LUXURY SUITS" branded products.

11.3 Following the personalized consultancy service, in case of confirmation of the purchase of a minimum number of 5 dresses or in any case if the confirmed order is equal to or greater than the total price of € 15,000, the aforementioned services will be understood as provided free of charge by the Company. Conversely, the Customer will be required to pay the Company the amount of € 1,000 as consultancy, in addition to the costs actually incurred and reported by the Company for this activity.

12 - Additional Information and Customer Service

12.1 These GCS can be consulted on the website www.formale.co and can be saved using the relative browser command. It is also possible to save and archive them in PDF format by clicking on https://www.formale.co/pdf/gcs.pdf.

12.2 You can download and archive the order details after receiving the order confirmation message that the Company will send to the Customer via email. In any case, the order details will always be visible by logging into the personal area on the website www.formale.co.

12.3 These GCS and in particular the information referred to in art. 59 of the Consumer Code, as provided by the Company during the sale and brought back to the website www.formale.co, will remain valid and effective until they are modified and/or integrated by the Company. Any changes and/or additions to the GCS will be effective from the date on which they will be communicated to the public by publication on the website www.fromale.co and will apply to orders received after that time.

12.4 The Customer Service is available to the Customer for any need and can be contacted at the following e-mail address info@formale.co.

13 - Applicable law, dispute resolution and competent court

13.1 These GCS and the individual sales contracts (orders) are governed by Italian law.

13.2 For any dispute that may arise from the interpretation and/or execution of these GCS and/or individual sales contracts (orders), the Customer may activate an out-of-court dispute resolution (ADR) procedure in compliance with the requirements set out in to articles 141 and ss. of the Consumer Code, also online (ODR). In this case, the Company guarantees its participation in an attempt at an amicable settlement by means of its own representative.

13.3 Any dispute relating to the application, execution, interpretation and violation of these GCS and/or individual sales contracts will be the exclusive jurisdiction of the Court in which the Customer has his residence or domicile, if located in the territory of the Italian State, or of the Court of Bari if the customer has his residence abroad.
